Form CR29 is a statutory form under section 705 of the Companies Act, 2015 (Kenya). It is the Annual Return form that every company incorporated in Kenya must file with the Registrar of Companies.
The form records:
- Company details (name, number, business name).
- Company type (private/public/guarantee/unlimited).
- Principal business activities.
- Registered office address.
- Details of directors and secretaries.
- Share capital (if any) and rights attached to shares.
- Shareholders’ list and significant shareholders (5%+).
- Particulars of indebtedness (charges/mortgages).
- Number of members (for companies without share capital).
- List of members (for guarantee companies).
- Attachments (financial statements/reports for public or guarantee companies).
The purpose of Form CR29:
1. Ensure statutory compliance
- Companies are legally required to file annual returns within 28 days after the anniversary of incorporation or the last annual return.
2. Maintain transparency
- Updates the Registrar with current company details, shareholding, officers, and financial obligations.
3. Protect stakeholders
- Provides creditors, shareholders, and the public with accurate information about the company’s structure and obligations.
4. Support accountability
- Acts as a record for monitoring whether companies are active and compliant with statutory requirements.
